HELVIA’s Letter of Assignment & Fees
The M&A advisory services of HELVIA trust group consist both of professional and intermediary value-added activities, provided on a domestic and global scale. To benefit from these services, the Client should confer a Letter of Assignment to HELVIA. HELVIA’s Letter of Assignment is transparent, comprehensive and based on the good faith of both contracting parties. The provision of HELVIA’s M&A services inevitably requires the payment of professional fees, such as:
- Retainer Fee of a limited amount, to be paid upon conferral of the mandate. This fee enables HELVIA to bearing the groundwork for the future transaction, to setting-up the pitch-book, to searchign, selecting, confidential contacting and presenting the potential targets and counterparties to the Client, to soliciting and opening negotiations between the parties;
- Interim Fee of a fair amount, to be paid exclusively at the time of the signing of the non-binding agreement (LoI/MoU/TS) with the counterparty selected and presented by HELVIA. This fee enables to bearing the following intensive professional and negotiation M&A works in favour of the Client vis-a-vis of the selected counterparty and its advisors, as stipulated in the conferred Letter of Assignment;
- Success Fee of a prevailing amount, to be paid exclusively at the time of the signing of the final binding agreement (sale and purchase agreement – SPA) by the Client with the counterparty presented by HELVIA. This fee represents the recognition of the great added-value of HELVIA’s professional and intermediary activities that led to the success of the deal.
We invite those who intend to grant Letters of Assignment to HELVIA, subordinating the payment of the whole of due fees (100%) to the success of the deal, to desist from this intent, as it constitutes an ‘unfounded, disrespectful and unfair’ request with respect to the role, nature, value and scope of the M&A services offered by HELVIA Trust Group as well as the deal responsibility and decision lies solely in the hands of the Client.
